Terms of Service

These terms govern access to and use of the Vietnam Compliance Assistant by FACS, client organisations and authorised users.

1. Acceptance and authority

By accessing the platform, the user confirms that they have read, understood and accepted the current Terms, Privacy Policy, Disclaimer and data-processing documents.

The user confirms legal capacity and valid authority from the relevant organisation. A user who does not agree must not continue.

2. Accounts and access

  • Access is invitation- or approval-only.
  • ChatGPT sign-in identifies an account but does not by itself prove employment or representative authority.
  • Users must protect their account, never share a session and promptly report suspected unauthorised access.
  • FACS may suspend access to protect the service, meet lawful requirements or address a breach.

3. Service scope

The platform supports compliance profiling, obligation identification, deadline tracking, status records and research tools. Available functions depend on the service plan, client profile and role.

FACS may improve the service without reducing rights committed under an active service agreement without appropriate notice.

4. Client and user obligations

  • Provide complete, accurate, lawful and current information and review results before use.
  • Submit only data the user is authorised to provide, including employee or third-party data.
  • Maintain internal approvals, filing evidence and necessary professional review.
  • Do not misuse, attack, reverse engineer, scrape, copy or overload the service.

5. No formal advice

Automated outputs, calendars, alerts, legal descriptions and AI content are research and workflow support only. They are not legal, tax, accounting or audit advice or representation before an authority.

The client remains responsible for decisions and timely filings. Material matters require a separate written FACS engagement or opinion.

6. Data and confidentiality

Each party protects the other's confidential information and uses it only for the service. Client data remains under the client's lawful control; FACS processing is limited by contract, instructions and applicable law.

7. Intellectual property

The platform, code, design, data models, processes, rule engine, standardised content, marks and FACS materials belong to FACS or its licensors. The client receives a limited, non-exclusive, non-transferable right during the service term.

The client retains rights in source data it provides and authorises processing necessary to deliver, secure and improve the agreed service.

8. Availability and legal change

FACS works to maintain availability but cannot promise uninterrupted service. Maintenance, provider incidents, cyber events, force majeure or legal change may affect functions and displayed data.

Law and local guidance may change. Users must check update dates and verify the applicable rule for each case.

9. Limitation of liability

To the extent permitted by law, FACS is not liable for indirect loss, lost profit or opportunity, decisions based on incomplete data, or a user's failure to verify results and deadlines.

Aggregate direct platform liability will not exceed platform fees actually paid during the six months before the event, except for fraud, wilful misconduct, non-excludable obligations or a different service-agreement commitment.

10. Termination and data handling

Access may be disabled after termination. Export, return, retention or deletion follows the service agreement, Privacy Policy, valid client instructions and legal duties.

11. Governing law and disputes

Vietnamese law governs. The parties first negotiate in good faith; unresolved disputes go to the competent authority under Vietnamese law unless the service agreement provides another mechanism.

12. Updates and contact

New versions state their effective date. Material changes are notified and re-acceptance is requested where required.
